Sharing your story is completely your choice. You can skip questions, pause, or stop at any time, for any reason. It won’t affect any help you’re getting from the organization that invited you.

You must be an adult to use this.

You keep ownership of what you say. The story is generated using AI based on your answers.

You’re giving two organizations the right to use your story: the organization that invited you (for their mission and fundraising), and Storly, the company that makes the app (to run the app, improve it, and — only if that organization has turned on a specific setting — feature it in Storly’s own marketing). 

You won’t be paid for this.

You can ask to stop future use. You can’t cancel the rights you’ve already given, but you can ask the organization to stop using your story going forward, and to delete your story from the platform entirely if you want.

You can ask not to be trained-on by AI. Separately from everything else, you can opt out of having your story used to improve Storly’s AI systems.

You can request anonymity. You can ask to be identified by first name only, or not have your photo used — though depending on your story’s details, complete anonymity isn’t always guaranteed.

Introduction

These Terms and Conditions (“Terms“) govern your participation as a Storyteller using the Storly.AI interview and story-writing tool (the “App“). You have been invited to use the App by an organization that uses Storly’s platform to collect and share stories (“Organization,” defined below). By entering your name, accepting these Terms, and participating in an interview through the App, you (the “Storyteller,” “you,” or “your“) agree to be bound by these Terms.

This document includes a release of certain legal claims and separate, independent licenses granted to both the Organization and to Storly to use your story, name, image, voice, and likeness. Please read it thoroughly.

Definitions

Organization” means the nonprofit organization, non-profit corporation, charitable entity, non-governmental organization (NGO), business, government agency, educational institution, religious institution, or other entity that has engaged Storly to use the App to interview and collect stories from Storytellers.

Story” means, collectively, your Input and the Output generated from it, as defined in Section 3.

1. Voluntary Participation, Eligibility, and Acknowledgment

1.1 Voluntary. Your participation is entirely voluntary. You may decline to answer any question, pause the interview, or stop participating at any time, for any reason, without penalty and without affecting any services or assistance you receive or are eligible to receive from the Organization.

1.2 Adults Only. The App is intended for use only by individuals who are adults (of legal age of majority) in their place of residence. By using the App, you represent that you meet this requirement.

1.3 Acknowledgment Regarding Personal Content. Recounting personal experiences, including difficult or painful ones, can sometimes bring up strong emotions. You acknowledge that sharing your story is your choice, that you are not obligated to disclose anything you do not wish to disclose, and that you may stop the interview at any time. If you need support, we encourage you to reach out to the Organization or to a resource of your choosing. Neither Storly nor the Organization is providing counseling, medical, or legal services through the App.

2. Consent to Be Interviewed

By proceeding with the interview, you consent to being interviewed by, or through, the App, and to your spoken or written responses being recorded, transcribed, and processed by AI technology to generate a written Story. You may stop the interview at any time as described in Section 1.1.

3. How the App Works; Input and Output

You provide interview responses (“Input“) and the App generates a written story based on that Input (“Output,” and together with the Input, your “Story“). As between you and the Organization and Storly, you retain ownership of your Input. You are solely responsible for the truthfulness and accuracy of your Input. Because the Output is generated with the assistance of AI technology, authorship and copyright status of AI-assisted text is an evolving and, in some respects, legally unsettled area; regardless of that status, your rights and the rights of the Organization and Storly in the Story are governed by the licenses described in Sections 4 through 7.

4. License to the Organization

You grant to the Organization a perpetual, worldwide, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, edit (per Section 7), publish, distribute, create derivative works from, and publicly display your Story, name, image, voice, and likeness, in whole or in part, in any medium now known or later developed, in connection with the Organization’s charitable mission, programs, fundraising, donor communications, and marketing and promotional activities — subject to the future-use cessation right described in Section 10.

5. Independent License to Storly

5.1 Grant. Separately, and independently of the license granted to the Organization in Section 4, you grant to Storly a perpetual, worldwide, irrevocable, royalty-free, sublicensable, and transferable license to use, host, store, process, reproduce, adapt, create derivative works from, publish, distribute, and publicly display your Story, name, image, voice, and likeness, in whole or in part, in any medium now known or later developed, for any lawful purpose in connection with Storly’s business, including but not limited to:

  • operating, maintaining, securing, supporting, and improving the App and Storly’s other current and future products and services;
  • marketing, advertising, and promoting Storly and its products and services;
  • creating anonymized or aggregated analytics, insights, research, and reporting;
  • archiving and migrating content as part of ordinary business operations;
  • continuing Storly’s operations and use of previously collected Stories even if the Organization that originally invited you ceases using the App, as described in Section 15; and
  • supporting a merger, acquisition, financing, or sale of Storly’s business or assets, in which case this license may be transferred as part of that transaction.

This license is broad and is intended to give Storly the flexibility needed to operate and grow its business, including through products, features, and uses not yet known or developed at the time you accept these Terms.

5.2 AI Model Training — Separate Opt-Out. The license in Section 5.1 includes the right for Storly to use your Story to train, fine-tune, and improve Storly’s AI models. You may decline this specific use by [opting out via account/interview settings / notifying the Organization / emailing hello@storly.ai], without affecting any other permission granted in these Terms. If you do not opt out, your acceptance of these Terms constitutes your consent to this use.

6. Name, Image, Voice, and Likeness; Identification Preferences

6.1 The licenses in Sections 4 and 5 include the right to use your name, photograph, video, voice, and likeness in connection with your Story.

6.2 If you would prefer not to be identified by your full name, or would prefer that your image not be used, you may indicate this preference during the interview process. The Organization and Storly will use commercially reasonable efforts to honor identification preferences (such as using a first name only or a pseudonym), but cannot guarantee complete anonymity, particularly where your Story, image, voice, or specific details could make you identifiable even without your name.

6.3 Biometric Information. If the App generates synthetic voice, video, or other AI-generated media derived from your voice or likeness, you separately consent to the collection, use, and storage of such biometric identifiers as necessary to provide that feature, to the extent required by applicable biometric privacy laws. You may decline this specific feature without affecting your ability to otherwise participate.

7. Editorial Latitude and AI-Generated Content

7.1 You grant the Organization and Storly broad latitude to edit, condense, adapt, translate, summarize, and reformat your Story — including through AI-assisted editing, summarization, translation, voice generation, video generation, and creation of derivative content — for narrative flow, style, length, medium, and publishing purposes, without requiring your approval of each specific edit or AI-generated adaptation.

7.2 This latitude does not permit attributing to you statements, opinions, or events that did not occur or that you did not convey, or altering your Story in a way that a reasonable person would consider a materially false or defamatory representation of you.

8. Release of Claims

In connection with the uses permitted under Sections 4 through 7, you release Storly and the Organization, and their respective officers, directors, employees, and agents, from any and all claims and demands arising out of such permitted use of your Story, name, image, voice, or likeness, including claims for invasion of privacy, rights of publicity, or defamation — except to the extent such use is inconsistent with these Terms or applicable law, or arises from a use you did not authorize.

9. No Compensation

You will not receive payment or other compensation for your Story, or for any license, release, or consent granted under these Terms. Similarly, neither the Organization nor Storly is obligated to use, publish, or feature your Story in any particular way, or at all.

10. Withdrawal Policy; Future-Use Cessation

10.1 Some Organizations allow Storytellers to view their completed Story; this setting is controlled by the Organization.

10.2 You may request a copy of your Story, request edits, or request that the Organization and Storly cease future public use and publication of your Story, at any time, by contacting the Organization directly. Storly is not the appropriate contact for these requests, as the Organization manages the primary relationship with you.

10.3 Nature of This Right. Because the licenses granted in Sections 4 and 5 are irrevocable (which allows Storly and the Organization to maintain reliable, long-term use of collected Stories), a cessation request does not terminate those licenses as a legal matter. It is, instead, a contractual commitment by the Organization and Storly to stop actively publishing or featuring your Story in new materials going forward. It will not affect uses that already occurred, materials already distributed, archival copies, anonymized/aggregated analytics, or AI models already trained, prior to receipt of your request.

10.4 Account and Story Deletion. Your Story may remain accessible on Storly’s platform, until Storyteller or Organization request deletion of Story or account.

11. Privacy and Data Processing

Our collection and use of your personal information is described in our Privacy Policy for Storytellers, which is incorporated into these Terms by reference.

12. Prohibited Uses

You agree not to use the App to: (a) provide information you know to be false in a way intended to mislead; (b) submit content that unlawfully infringes another person’s rights; (c) submit content on behalf of, or about, another identifiable person without that person’s knowledge and consent; or (d) attempt to reverse-engineer, decompile, or extract the underlying source code or models of the App.

13. Warranties; Limitation of Liability; Indemnification

13.1 Warranties. The App is provided “as is,” without warranties of any kind, express or implied.

13.2 Limitation of Liability. To the maximum extent permitted by law, Storly and the Organization shall not be liable for indirect, incidental, special, or consequential damages arising out of or in connection with your participation as a Storyteller.

13.3 Indemnification. Storyteller agrees to indemnify, defend, and hold harmless Storly and the Organization, and each of their respective officers, directors, employees, contractors, and agents (each, an “Indemnified Party“), from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Storyteller’s breach of these Terms; (b) Input that Storyteller knew to be false, unlawful, or defamatory at the time it was provided; (c) Storyteller’s violation of any third party’s rights, including intellectual property, privacy, or publicity rights, in connection with the Input; or (d) Storyteller’s violation of applicable law in connection with Storyteller’s use of the App. This indemnification does not apply to claims arising from an Indemnified Party’s own breach of these Terms, negligence, or willful misconduct.

14. Term and Termination

These Terms remain in effect from the time you begin your interview until your participation ends. Sections 4, 5, 6, 7, 8, 9, 10, 11, 13, and 15 through 20 survive termination.

15. Continuity of Storly’s Rights

15.1 The Organization’s decision to stop using, or to downgrade, its subscription to the App does not terminate or affect Storly’s independent license under Section 5.

15.2 Transparency Disclosure. You understand and acknowledge that Storly may continue to host, use, and rely on the independent license described in Section 5 with respect to your Story even if the Organization that invited you later stops using Storly’s platform, subject to these Terms, Section 10.4, and applicable law.

16. Dispute Resolution; Arbitration Agreement

16.1 Agreement to Arbitrate. You and Storly agree that any dispute, claim, or controversy arising out of or relating to the licenses, release, editorial latitude, or use of your Story under Sections 4 through 10, or your participation as a Storyteller under these Terms, will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court, or seek injunctive relief in court for infringement or misuse of intellectual property rights.

16.2 Organization as Third-Party Beneficiary. If the Organization has agreed, in its services agreement with Storly, to be bound by arbitration and class-action-waiver terms substantially equivalent to this Section 16 with respect to disputes with Storytellers, then the Organization is an intended third-party beneficiary of this Section 16 and may enforce it, and is bound by it, accordingly.

16.3 Class Action and Jury Trial Waiver. Arbitration or litigation under this Section will be conducted only on an individual basis and not as a class, collective, or representative action, and all parties waive any right to a jury trial.

16.4 Arbitration Rules. The arbitration will be administered by a recognized arbitration organization (such as the American Arbitration Association) under its rules then in effect, and will take place in Delaware or another mutually agreed location, or may be conducted remotely or by written submission where permitted by the arbitration provider’s rules.

16.5 Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@storly.ai within 30 days of first accepting these Terms, stating your name and intent to opt out of arbitration. If you opt out, this Section 16 will not apply to you, but the rest of these Terms will remain in effect.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to Section 16, any disputes not covered by the arbitration agreement will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

18. Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, pandemic, labor dispute, internet or utility failure, or governmental action.

19. Assignment; Notices

19.1 You may not assign or transfer these Terms without Storly’s prior written consent. Storly and the Organization may each assign these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, or sale of assets — consistent with the transferability of the licenses described in Sections 4 and 5.

19.2 Notices to Storly must be sent to hello@storly.ai or to Storly, Inc., 1201 Connecticut Ave NW, Ste 531, Washington, DC 20036-2605. Notices to you may be sent to the email address you provided during the interview process.

20. General Terms

20.1 Relationship. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you, Storly, and the Organization.

20.2 Amendments. Storly may revise these Terms from time to time; the version in effect at the time of your interview governs.

20.3 Severability. If any provision is found unenforceable, the remaining provisions remain in full force.

20.4 Entire Agreement. These Terms, together with our Privacy Policy for Storytellers, constitute the entire agreement between you, Storly, and (with respect to Section 4) the Organization regarding your participation.
